Job Presentation

Our client in the medical and travel security services is seeking to recruit a Legal & Corporte Secretiral Executive who will report to the GM Corporate Secretarial. The job holder will ensure that all legal and regulatory requirements relative to running a large and geographically diverse group of companies in the Northern and Latin American regions (the “Region”) are punctually and efficiently complied with. The position also serves as a focal point for communications relative to the Boards of Directors of all joint venture and other legal entities in the Region. He/ She will occupy a key role in the administration of critical corporate matters including mergers and acquisitions, corporate restructurings, audit and compliance relative to the Region. The job holder will be supported by legal/ general counsels.

Responsibilities:

Corporate Secretarial Services responsibilities include:
Managing all board and shareholder meetings relevant to the Region, including coordinating, preparing and distributing board/shareholder pre-read materials, meeting agendas, notifications and meeting minutes for the board of directors and shareholders.
Monitoring and highlighting board and shareholder decisions and/or information items, actions and directives to ensure action items are duly addressed.
Reporting on outstanding agenda items and taking action to ensure information is provided to the board/shareholder members in a timely manner.
Preparing all correspondence for the board/shareholders, including responses to enquiries or complaints directed to the board/shareholders.
Coordinating annual shareholders and other meetings as necessary.
Maintaining key corporate documents and records.

Corporate Governance responsibilities include:
Facilitating effective flow of information relative to Board and Shareholders meetings involving partners. Reporting progress and issues to management.
Researching and staying current with corporate governance and secretarial functions, responsibilities and services in the Region.
Providing expertise, advice and recommendations related to a broad range of corporate governance and Board issues by identifying concerns and developmental needs and providing strategic advice in relation to the same.
Monitoring and evaluating the implementation of governance policies and directives and recommending proposals to address deficiencies in order to achieve the Group’s overall strategic objectives.
Supporting the restructure and reorganization of companies within the International SOS Group and supporting the merger, acquisition and disposal of assets and companies.

Occupational Health and Safety Responsibilities:
Participate in the development and maintenance of a safe and healthy workplace.
Undertake all mandatory OH&S training as required.
Comply with any reasonable instructions, policies, procedures or safe work practices given by Intl.SOS in adhering to safe work procedures.
Co-operate with management in its fulfilment of its legislative obligations.
Take reasonable care to ensure their own health and safety and the safety of others.
To report any injury, hazard or illness as soon as possible to their supervisor.

What you need to know:

Profile:

University Graduate.
Degree in Law is an advantage.
Certification as a Fellow with Institute of Chartered Secretaries and Administrators or its equivalent
Fluent in Microsoft Office applications, Adobe and Sharepoint, and specialist corporate secretarial software programs such as Blueprint or ViewPoint.
Between 2-5 years in a Corporate Secretarial Services function, preferably at a multinational corporation with an international business portfolio, particularly focused on the Region.
Fluent in spoken and written English.
Knowledge of any other languages prevalent in the Region would be a plus.
Corporate governance practices in multinational corporations. Establishing and developing relationships with internal clients.
Corporate governance laws and compliance in multiple jurisdictions.
Experience handling multiple legal entities in diverse jurisdictions, especially in emerging markets.
Detailed understanding of Company Law, regulations and best practices.
Find innovative and efficient solutions for corporate governance functions.
Manage the details of registration and administrative processes, while maintaining an ability to think strategically.
Experience in project management.
